TERMS OF AGREEMENT

Good Energy Products (GEP) is a dba of Special Effort Ltd. (SEL), offering to individuals and businesses an opportunity to become a distributor of the Good Energy Products' line of products.

1. REQUIREMENTS: A distributor becomes a Good Energy Product distributor upon the execution of this agreement. Special Effort Ltd. hereby appoints the distributor as its non exclusive distributor to market, sell and distribute the Good Energy Products to the consuming public and to wholesale / resale customers. Distributors agree to honor all Good Energy Products warranties to its customers, including the 30 day money back guarantee. The distributor will provide refunds to those customers requesting refunds, which amount shall be re-imbursed to the distributor, less any previously paid commission fees paid for the designated sale.

2. INDEPENDENT CONTRACTOR: Distributors are an independent contractor in their relationship to SEL/GEP and have no power to commit SEL/GEP in any manner. Distributors shall be responsible for maintaining any business and resale licenses and assuming all tax liabilities appropriate for their state laws. Any advertising, other than official company ads and pricing, must be approved in writing by SEL.

3. COMPENSATION: Good Energy Products (a dba of Special Effort Ltd.) is a direct marketing company with a three (3) tier commission plan. Compensation is not paid on the basis of recruiting or sponsoring other distributors. Commissions are paid to distributors only on retail internet orders of GEP products, as listed below.

" 2nd Level (sponsored distributor)---------15%
" 3rd Level (sponsored distributor)---------5%

A distributor receives commissions as the result of purchases made from their website, whether the purchase was made by themselves, or another. This same distributor also receives sales commissions from the distributors which they have sponsored into the first two (2) levels below them. The commissions are calculated as of the last day of the month and are paid to the distributors by the 10th of the following month. Checks are issued to the name and address, as listed in the distributor's "member's area" information in the " back office " area of their website.

4. RULES OF CONDUCT: Distributors will make no claims of product benefits beyond those listed on the product labels, on company literature, or on the company website. Any use of the GEP trade names and logos (other than on official company literature and business cards), must be approved in writing by SEL.

5. TERM OF AGREEMENT: This agreement shall continue for so long as the distributor is a GEP distributor in good standing and is in compliance with this agreement.

6. GOVERNING LAW: This agreement will be governed in accordance with the laws of the State of Texas.

7. MODIFICATIONS TO AGREEMENT: SEL at its sole discretion may modify the terms of this agreement without notice.

8. ENTIRE AGREEMENT: This agreement constitutes the entire agreement between SEL/GEP and the distributor. This agreement supersedes all prior agreements between the parties related to its subject matter.

9. NO GUARANTEES: The distributor acknowledges that there have been no guarantees or representations that the distributor will derive any income form their efforts. The distributor also acknowledges that their financial success will depend on their own abilities and that of their sponsored distributors.

10. READ AND UNDERSTAND: By submitting this agreement, distributor warrants that they have read this agreement and understand the terms set forth.

I AGREE TO THE TERMS OF THIS AGREEMENT AND DESIRE TO ENTER INTO AN AFFILIATION WITH SPECIAL EFFORT LTD / GOOD ENERGY PRODUCTS TO BECOME A DISTRIBUTOR OF GOOD ENERGY PRODUCTS.
